Terms of Service

1. Parties
These terms govern the relationship between RP Digital Solutions LTD, a company registered in England and Wales ("we", "us"), and you, the client ("you", "your").
Each engagement is subject to a separate written proposal or statement of work agreed between us. These terms apply to all engagements unless expressly varied in writing.
2. Services
We provide bespoke workflow automation, AI integration, and process consulting services. The specific scope, deliverables, and timeline of each engagement are defined in a written proposal or statement of work agreed before work commences.
We reserve the right to determine how the services are delivered, including which tools and methods are used, provided the agreed deliverables are met.
3. Payment
Full payment is required upfront before work begins, unless otherwise agreed in writing in the relevant proposal.
30-day money-back guarantee: If you are not satisfied with the work delivered, you are entitled to a full refund within 30 days of delivery. No questions asked. Simply contact us at roopesh.patel@rpdigitalsolutions.co.uk to request a refund.
4. Intellectual property
Upon receipt of full payment, you own all custom deliverables created specifically for your engagement — including code, automations, documentation, and configurations.
Pre-existing tools, frameworks, templates, methods, and any third-party software used to build your solution remain the property of their respective owners. We grant you a non-exclusive licence to use these as part of your deliverables.
5. Confidentiality
Each party agrees to keep the other's confidential information private and not to disclose it to third parties without prior written consent, except where required by law.
"Confidential information" includes business processes, pricing, client lists, and any information marked as confidential or which a reasonable person would consider confidential.
This obligation continues for 2 years after the end of the engagement.
6. Your obligations
To enable us to deliver the agreed services, you agree to:
- Provide timely access to the systems, accounts, and information we need
- Designate a point of contact who can make decisions or escalate promptly
- Review and provide feedback within agreed timescales
We are not liable for delays or failures caused by your failure to meet these obligations.
7. Warranties and disclaimers
We warrant that our services will be performed with reasonable skill and care in accordance with the agreed specification.
We do not warrant or guarantee specific business outcomes — including revenue increases, time savings, or return on investment — as these depend on factors outside our control, including how you implement and use what we deliver.
8. Limitation of liability
To the maximum extent permitted by applicable law, RP Digital Solutions LTD shall not be liable for:
- Loss of profit, revenue, business, or contracts
- Indirect, incidental, special, or consequential losses
- Losses arising from your use or misuse of deliverables after handover
Our total liability to you in connection with any engagement shall not exceed the total fees paid for that engagement.
Nothing in these terms limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.
9. Termination
Either party may terminate an engagement by giving 14 days' written notice before delivery is complete.
In the event of termination initiated by us (other than for your breach), we will refund any upfront payment minus a fair charge for work completed to date.
In the event of termination initiated by you within 30 days of delivery, you are entitled to a full refund under the guarantee in Section 3.
We may terminate immediately if you materially breach these terms and fail to remedy the breach within 7 days of written notice.
10. Governing law and disputes
These terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
Before resorting to legal proceedings, both parties agree to attempt to resolve any dispute in good faith by written communication within 30 days of the dispute arising.
11. Changes to these terms
We may update these terms from time to time. The "Last updated" date at the top reflects any changes. The terms in force at the time a proposal is accepted govern that engagement.
